End User License Agreement

IMPORTANT — READ CAREFULLY BEFORE INSTALLING OR USING THIS SOFTWARE.

This End User License Agreement ("Agreement") is a legally binding contract between you ("User," "you," or "your") and Sullivan Technology ("Company," "we," "us," or "our") governing your use of the TuneBit software application, including all associated files, tools, updates, and documentation (collectively, the "Software").

By installing, copying, or otherwise using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software.


1. License Grant

Subject to the terms of this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on computers you own or control, solely for your personal or internal business purposes. The license is granted for a period of one (1) year from the date of purchase, unless terminated earlier in accordance with this Agreement.

1.1 Subscription and Pricing

The Software is provided as a subscription service. The Personal plan is priced at $29.95 per year and entitles you to use the Software on up to five (5) computers you own or control. The Technician plan is priced at $89.95 per year and entitles you to use the Software on an unlimited number of computers via a USB-stick-bound license. Your subscription grants you access to all features and updates for the duration of the subscription period. All features are included on every plan; there are no separate feature tiers or paid upgrades.

1.2 Free Trial

The Company provides a one-time seven (7) day free trial period to evaluate the Software with full access to all features. Upon expiration of the trial period, you must purchase a subscription to continue using the Software. Any attempt to circumvent the trial period limitation is a violation of this Agreement.


2. Restrictions

You may NOT:

  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law.
  • Modify, adapt, translate, or create derivative works based on the Software.
  • Distribute, sublicense, lease, rent, loan, or otherwise transfer the Software or any license key to any third party.
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
  • Use the Software for any unlawful purpose or in violation of any applicable laws or regulations.
  • Circumvent, disable, or tamper with any licensing, trial-tracking, feature-gating, or copy-protection mechanisms in the Software.
  • Share, publish, or redistribute license keys.

3. Ownership

The Software is licensed, not sold. The Company retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any rights to trademarks, service marks, or trade names of the Company.


4. System Modifications

You acknowledge that the Software is designed to modify system settings, registry entries, services, installed applications, drivers, and other operating system components on Windows 10 and Windows 11 systems. The Software requires Administrator privileges to perform its functions.

YOU UNDERSTAND AND AGREE THAT:

  • The Software makes changes to your operating system that may be difficult or impossible to reverse.
  • Modifying system components, the Windows registry, services, drivers, and startup configurations carries inherent risk, including but not limited to system instability, data loss, boot failure, and hardware malfunction.
  • You are solely responsible for maintaining adequate backups of your data and system state before using the Software.
  • The Company has no obligation to assist in recovering from any system changes made by the Software.

5. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE COMPANY DOES NOT WARRANT THAT:

  • THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
  • THE SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • THE RESULTS OBTAINED FROM THE USE OF THE SOFTWARE WILL BE ACCURATE, RELIABLE, OR COMPLETE;
  • ANY ERRORS OR DEFECTS IN THE SOFTWARE WILL BE CORRECTED;
  • THE SOFTWARE WILL BE COMPATIBLE WITH ANY PARTICULAR HARDWARE OR SOFTWARE CONFIGURATION; OR
  • THE SOFTWARE WILL NOT CAUSE DAMAGE TO YOUR SYSTEM, DATA, OR FILES.

NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY THE COMPANY SHALL CREATE A WARRANTY. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE SOFTWARE IS AT YOUR SOLE AND EXCLUSIVE RISK.


6. ASSUMPTION OF RISK

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SOFTWARE. This includes, without limitation, risk of:

  • Data loss or corruption
  • System instability or failure
  • Loss of installed applications or user settings
  • Registry damage
  • Boot failure or inability to start Windows
  • Driver incompatibility or hardware malfunction
  • Loss of network connectivity
  • Degraded system performance
  • Security vulnerabilities introduced by changes to system configuration

You acknowledge that you have been advised to create full system backups and restore points before using any feature of the Software, and that failure to do so is at your own risk.


7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • YOUR USE OF OR INABILITY TO USE THE SOFTWARE;
  • ANY CHANGES MADE TO YOUR SYSTEM BY THE SOFTWARE;
  • ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA;
  • ANY THIRD-PARTY CONDUCT OR CONTENT RELATED TO THE SOFTWARE; OR
  • ANY OTHER MATTER RELATING TO THE SOFTWARE.

IN NO EVENT SHALL THE COMPANY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR TEN DOLLARS ($10.00 USD), WHICHEVER IS GREATER.

THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.


8. Indemnification

You agree to indemnify, defend, and hold harmless the Company from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Software, your violation of this Agreement, or your violation of any rights of any third party.


9. Network Behavior and Data Handling

The Software is designed to operate locally on the User's device. It does not transmit telemetry, analytics, crash reports, usage tracking, or inventory data to the Company. Diagnostic information surfaced inside the Software — including hardware inventory, event logs, registry scan results, BSOD minidump analysis, license codes, and any other data displayed by individual tools — remains on the User's device and is not transmitted to the Company or any third party.

The complete list of network operations the Software performs is enumerated below. Each call uses HTTPS over the standard TLS port (443). All endpoints listed below are operated by the Company except where explicitly noted.

9.1 License Validation

  • Endpoint: https://tunebit.app/api/validate-license.php
  • Method: HTTPS POST with a JSON body
  • Frequency: Not more than once every three (3) days. The Software caches the result of a successful validation and re-validates only when that cached result reaches three (3) days of age — at launch if the Software is being started, or on an internal timer if the Software has been left running. Launching the Software while a cached validation is still current performs no network call at all.
  • Data transmitted: The User's signed license code (which contains only the device hardware fingerprint and the license expiry date — both values the Software already possesses locally).
  • Data received: A small JSON response indicating whether the license is valid, revoked, expired, or unknown.
  • Purpose: Confirm the license has not been revoked and that the subscription is current.
  • Offline grace period: The same three (3) days serve as an offline grace period. If the licensing server cannot be reached, the Software continues to operate normally on the cached validation until it reaches three (3) days of age. The clock resets on each successful validation, so a User whose device is online at any point in a three-day window will never encounter this limit.
  • If validation ultimately fails: Where the cached validation has expired and the server reports the license as revoked or expired, or cannot be reached at all, the Software presents the User with three options: enter a different license code, purchase a license, or close the Software. The Software does not continue to operate with unvalidated licensed functionality, and it does not delete, disable, or alter any of the User's data, settings, or prior system changes as a result. Any changes previously made to the User's system by the Software remain in place and are unaffected.

9.2 Trial License Issuance

  • Endpoint: https://tunebit.app/register.php
  • Method: HTTPS POST, form-encoded
  • Frequency: Once per device, on the first launch of a new install that has no existing license, only if the User has not previously deactivated the Software on this device.
  • Data transmitted: The device's hardware fingerprint — a SHA-256 hash derived locally from immutable hardware identifiers. The fingerprint is not a serial number, MAC address, or other identifier that can be correlated to the User outside of the Company's own license database.
  • Data received: A signed seven (7)-day trial license code bound to the submitted fingerprint.
  • Purpose: Issue a free seven-day trial license without requiring the User to create an account.

9.3 Update Check and Download

  • Endpoint (version probe): https://dist.tunebit.app/VERSION
  • Endpoint (binary download): https://dist.tunebit.app/TuneBit.exe
  • Method: HTTPS GET
  • Frequency: The version probe runs once per launch when an internet connection is available. The binary download executes only after the User explicitly clicks "Yes" on the update-available prompt.
  • Data transmitted: Standard HTTPS request metadata (the .NET runtime's default User-Agent and the URL). No identifying information is added by the Software.
  • Data received: Either the current version string (text/plain) or the new signed Software binary.
  • Purpose: Notify the User when a newer signed release is available and, with the User's consent, replace the running binary.

9.4 VirusTotal File Hash Lookup (opt-in, BYOK)

  • Endpoint: https://www.virustotal.com/api/v3/files/{sha256} (operated by Google / Chronicle, not by the Company)
  • Method: HTTPS GET, authenticated with an x-apikey header.
  • API key: The Software does not include a VirusTotal API key. The User must sign up for a free (or paid) account at https://www.virustotal.com/ and paste their personal API key into the VirusTotal module before the feature can be used. The key is stored locally:
  • On fixed-drive installs: in the Windows registry at HKCU\Software\TuneBit\VirusTotal\ApiKey (per-user, not roaming).
  • On portable / USB-bound installs: in a virustotal.ini file alongside TuneBit.exe.

The key is sent only to VirusTotal's own servers (as the x-apikey HTTP header) and is never transmitted to the Company.

  • Frequency: Only when the User explicitly invokes the "Scan File" control inside the VirusTotal module against a specific file.
  • Data transmitted: The SHA-256 hash of the selected file, plus the User's VirusTotal API key as authentication. The contents of the file are never transmitted — only the hash. The Company has no visibility into these requests; they are subject to VirusTotal's own privacy policy, terms of service, and rate limits.
  • Purpose: Surface VirusTotal's existing reputation data for a specific file the User is investigating.

9.5 No Other Network Activity

Aside from the four operations enumerated above, the Software performs no outbound network communication. In particular, the Software does not:

  • Send analytics or telemetry of any kind
  • Send crash reports or stack traces
  • Transmit hardware inventory, registry contents, event logs, BSOD minidumps, scan results, or any other diagnostic data
  • Maintain a persistent connection to any server
  • Use any third-party advertising or tracking SDKs
  • Modify outbound traffic generated by other applications on the User's device

Network traffic to the Company's domains (tunebit.app, dist.tunebit.app) may be safely blocked at the firewall level, and the Software will operate with full functionality — save for update notifications and the opt-in VirusTotal lookups — for as long as its cached license validation remains current. The User should be aware that because license validation is subject to the three (3)-day limit described in Section 9.1, permanently blocking tunebit.app will cause the Software to request re-activation once the cached validation expires. Allowing the validation endpoint through the firewall, or connecting the device to the internet once every three days, is sufficient to avoid this.

9.6 Stripe Billing (Web Portal Only)

Payment processing for subscriptions is handled exclusively through the Company's website at tunebit.app and the Stripe-hosted billing portal. The Software itself does not initiate billing-related network calls and does not receive, process, or store the User's payment-method data. Stripe's processing of payment information is governed by Stripe's own privacy policy.


10. Updates

The Company may, at its sole discretion, release updates, patches, or new versions of the Software. Updates may modify features, fix defects, or change functionality. This Agreement applies to all updates unless a separate agreement accompanies the update. Updates are included with an active subscription for the duration of the subscription period.


11. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms, or upon the expiration or cancellation of your subscription. Upon termination, you must cease all use of the Software and destroy all copies in your possession or control.

The Company may also terminate or suspend your license at any time, for any reason, including but not limited to suspected license key fraud or violation of this Agreement.

Sections 3, 5, 6, 7, 8, and 13 shall survive termination of this Agreement.


12. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict-of-law provisions. Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Davidson County, North Carolina, and you consent to the personal jurisdiction of such courts.


13. General Provisions

13.1 Entire Agreement

This Agreement constitutes the entire agreement between you and the Company regarding the Software and supersedes all prior agreements and understandings, whether written or oral.

13.2 Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.

13.3 Waiver

The failure of the Company to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer this Agreement or your rights hereunder without the prior written consent of the Company. The Company may assign this Agreement without restriction.

13.5 No Third-Party Beneficiaries

This Agreement does not confer any third-party beneficiary rights.


14. Acknowledgment

BY INSTALLING OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER ACKNOWLEDGE THAT THIS AGREEMENT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND THE COMPANY, AND THAT IT SUPERSEDES ANY PRIOR PROPOSAL OR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.
